• All sales made by Pick n’ Drive International (“P&D”) to its customers (“Buyer”) are subject to these terms and conditions which are served herein jointly and/or severally with P&D Website Policy and Privacy Statement. Buyer’s acceptance of these joint terms and conditions, policy and related statements shall be made by either (1) Buyer order number to P&D or (2) Buyer’s acceptance of any merchandise from P&D, whichever occurs first. These terms and conditions shall apply to sales of all merchandise by P&D including special orders except as otherwise stated. The term “Special Order” as used herein shall mean merchandise that are not listed in P&D Website.
  

• Merchandise herein signifies pre-owned vehicles which also called used vehicles or cars and auto parts or accessories that Buyer shall see online and thus able to purchase accordingly as per procedure set out henceforth or specified in “How to Buy” section in P&D Website. This is to provide facility to buyer so as to select and decide the merchandise to order us of specific requirements. Accordingly, Buyer shall be able to purchase the merchandise online and mutually avail our services so as make the delivery to required destiny, which subjects to the full payment before shipment.
  

• While ordering, Buyer shall be asked to provide necessary details as per given form in P&D Website so as to instantly register the purchase which jointly links with this terms and conditions subjects to P&D Privacy Statement.
  
  
• P&D reserve the right to refuse or cancel the purchase in case Buyer falls into any of the following categories:
  
  
  1. The contents of details provided by Buyer are fraudulent.
     
     
  2. The existence of the Buyer cannot be confirmed.
     
     
  3. The Buyer is considered ineligible to P&D Services or has credibility problems.
     
     
  4. The Buyer’s business activity is considered being in competition with P&D or cannot be admitted into P&D Services for other reasons.

• With reference to article no. 2 that refers to online shopping of merchandise offered by P&D with the customized services that includes merchandise prices, specifications, assessment sheets, photos, other related information, e-ordering, e-invoicing and relevant procurement status update, alteration of which subjects to the rights reserved by P&D.
  
  
• For merchandise available online that buyer interested in, Buyer shall press ‘Buy’ button to proceed with shopping.
  
  
• After pressing Buy button, subjects to the article no. 2, Buyer shall be asked to provide necessary details then (once completed) confirmed online order will generate to Buyer as well as P&D so as to expedite the shopping in order to make the purchase successful.
  
  
• Simultaneously, with online order, “Proforma Invoice” will also generate online which particularly means the completion and/or confirmation of order from Buyer. Proforma Invoice means the bill of payment before shipment.
  
  
• In case, if Buyer do not find the desired merchandise i.e. specifically pre-owned vehicles and auto parts/accessories, then he/she could contact P&D through provided online inquiry or order form “Vehicle Order Form’ in website to ask for price quotations and accordingly order of special requirements. The order of special requirements aside from the available merchandise enlisted in P&D website shall be termed as “Special Order” as referred in article no.1.
  
  
• As per Proforma Invoice, Buyer shall pay according to the payment terms given in article 6.
  
  
• P&D favor “first pay first served” policy for customers, which means customer who made the very first payment, shall have the entitlement of purchase. For customers who may fail to ‘first pay first served’ purchase entitlement due to the order or relatively global time difference, P&D sincerely apologize them and wish them a very good luck in their next orders.
  
  
• In accordance of the “first pay first served” policy mentioned in above article, the very first payment from Buyers shall be accepted and other following payment in pipeline (if occurred) shall be refunded to loosing Buyer or alternatively shall be offered to purchase any desired merchandise (in replacement) in the value of paid payment.
  
  
• Ordered merchandise will be shipped on any first available vessel, once P&D got the full payment.
  

• The price for the merchandise will be the price indicated on the P&D invoice to Buyer
  
  
• Delivery cost, where applicable, are payable by buyer as indicated on the P&D invoice to Buyer.
  
  
• All prices are subject to change without notice with all rights reserved by P&D.
  
  
• Buyer must pay in currency as indicated in P&D invoice.
  

• Payment policy is pay as you buy per vehicle.
  
  Buyer shall pay 100% of Proforma Invoice within 5 days of Proforma Invoice through T.T Remittance (Wire Transfer), Bank Draft, Travelers Cheques or Western Union (letter of credit shall not be allowed)
  
• Buyer shall confirm through emailing or faxing bank transcript within 48 hours to P&D, otherwise P&D will cancel the purchase and Buyer will be charged a cancellation fee (please refer article 11)
  
  
• The preferred method of payment is T.T remittance, which is the quickest, safest and cheapest method.
  
  
• Bank draft will take up to five weeks to clear and will cause a delay in shipment until the cleared funds are received into P&D account. Always send the bank drafts by courier or registered airmail.
  
  
• Travelers Cheques must be signed in both places on each cheque and sign must be identical to the one in passport. Buyer shall send the cheques with the copy of valid passport by registered courier direct to P&D.
  
  
• All bank charges must be paid by the sender (Buyer).
  
  
• In any or all cases of payments, Buyer shall quote invoice number.
  

• After full payment, P&D will send the related documents which are; B/L (original or surrendered), P&D Invoice, De-registration Certificate in Japanese and in its English translation
  

• All merchandise available to direct purchase online are on as-is basis, which means Buyer should purchase the vehicle on his/her full discretion, and P&D does not guarantee whatsoever after purchase. Should buyer requires any extra details of merchandise which buyer may interested in, then buyer shall contact P&D at sales@pnd-auto.com before purchase is made.
  
  
• P&D is a global and very esteemed company. P&D do business on service quality, integrity and customers convenience basis. There is no-doubt once Buyer choose vehicle(s) from P&D’s Internet showroom, P&D assure Buyer that he/she will get the right vehicle and definitely once he/she experience he/she will get satisfied. All P&D require is the right payment on right time from Buyer.
  

• Yokohoma, Nagoya, Kobe or Osaka.
  
  
• Any available port through any available vessel of PCC Shipping Company or Container (if required).
  

• Shipping terms are as shown in Table-1 below.

• This article subjects to the provision of cancellation of ordered merchandise either by Buyer after purchase, or by us after due payment term; the cancellation charge shall apply to Buyer at 20% of Proforma Invoice value.
  

• P&D makes no warranties whatsoever. In no event shall P&D be liable for any consequential damages or damages of any kind or nature alleged to have resulted during or after shipment. P&D does not warrant the merchantability of the merchandise or their fitness for any particular purpose.
  

• No title to any merchandise is transferred to the customer or buyer until P&D receives the full payments. If payments are not received in full or whatsoever, P&D shall have full rights to sell the merchandise to any other Buyer.
  

• These terms and conditions as published on P&D Website are the official terms and conditions of sale between P&D and Buyer or Purchaser and may be amended from time to time without notice at P&D sole discretion.
